Introduction and Scope of Application

Welcome to BAYZL! We are pleased that you are visiting our website and showing interest in our products. The following General Terms and Conditions (hereinafter referred to as "GTC") govern the contractual relationship between you as a user or customer (hereinafter also referred to as "you", "your", or "customer") and us, BAYZL (hereinafter also referred to as "we", "us", or "our"), regarding the use of our online platform and all associated features, content, services, and products (collectively referred to as "Services").

Our online shop operates on the e-commerce platform Shopify, through which we provide access to our streetwear products and other shop functionalities. These GTC apply to all offers, orders, deliveries, and other services provided via our webshop at www.bayzl.eu.

By using our website or purchasing products through our shop, you accept these GTC in their current version as legally binding. If you do not agree with any provision of these Terms or our Privacy Policy, you are not permitted to use our webshop.

By agreeing to these Terms and Conditions, you confirm that you are of legal age under the laws of your country of residence. If you allow minors to access our Services through your devices, you expressly declare that you are authorized to do so and that you assume responsibility for their use.

Certain features of our website—such as browsing our shop, creating a user account, or placing orders—may require you to provide personal information, including your email address, billing and shipping details, and payment information. By entering this information, you confirm that all details provided are accurate, complete, and up to date, and that you are authorized to use the information provided.

We strive to present our products and services as accurately and in as much detail as possible. However, please note that depending on your device, screen resolution, and display settings, there may be slight variations in color or appearance. Such deviations do not constitute a product defect.

Despite our best efforts, we cannot guarantee that the actual appearance or quality of a product will fully match your personal expectations or the images shown on our website.

All product descriptions, prices, and availability are subject to change at any time without prior notice. We also reserve the right to discontinue products, limit available quantities per customer, region, or jurisdiction at our sole discretion.

 

3. Orders & Contract Formation

By submitting an order via our online shop, you are placing a binding offer to purchase the selected products. The decision to accept your order lies solely with BAYZL. We expressly reserve the right to reject orders without stating reasons. A binding purchase contract is only formed when we confirm your order via email and your payment has been successfully received and processed.

Please ensure that all details are correct and review your order carefully before completing it. After your order is accepted, cancellations or changes may not be possible. If we are unable to accept, modify, or process your order, we will inform you using the contact information provided with your order (e.g., email address, phone number, or billing address).

Returns and exchanges are handled exclusively in accordance with our applicable right of withdrawal.

By placing an order, you confirm that all products purchased are for personal use or use within your own household only—not for commercial resale or export.


4. Prices & Payment Information

Unless otherwise stated, all prices listed in our online shop include applicable VAT. Shipping costs are calculated automatically based on your delivery address and displayed transparently during checkout. For detailed information, please refer to our shipping policy.

Please note that customs duties and import taxes may apply to international orders. These fees are not included in our product or shipping prices and, where applicable, will be displayed separately or must be paid by the recipient in accordance with the regulations of the destination country.

The price of a product is always the valid price at the time of the order and will be stated in your order confirmation email. We may change prices, run promotions, or offer discounts at any time without prior notice.

Prices in our online shop may differ from those in other outlets or third-party platforms. Special offers and campaigns may be subject to separate terms, which take precedence over these GTC in the event of discrepancies.

You agree to provide complete, current, and accurate information about yourself and your payment details for all orders. This includes your email address, billing and shipping addresses, and valid payment information. Changes to this data must be communicated promptly.

By entering your payment details, you confirm that:

5. Shipping & Delivery

Your order will be shipped using selected shipping providers. All stated delivery times are non-binding estimates and do not represent guaranteed delivery dates. Delays may occur, especially during high order volumes, due to weather conditions, or customs clearance. BAYZL assumes no liability for shipping delays caused by third parties or circumstances beyond our control.

Once your order leaves our warehouse and is handed over to the shipping provider, the risk of loss or damage and the ownership of the products transfers to you—regardless of whether the shipment is domestic or international.

6. Intellectual Property

All content and elements of our Services—including but not limited to trademarks, logos, text, images, product descriptions, graphics, audio and video files, and their selection, design, and arrangement—are the intellectual property of BAYZL, its affiliates, or licensors. BAYZL operates through the Shopify platform, enabling us to offer our Services. However, all purchases and sales made in our shop are entered into directly between you and BAYZL. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of the transactions between you and BAYZL, including injuries, damages, or losses related to purchased products or services. You hereby expressly release Shopify and its affiliates from all liability related to claims, damages, or liabilities arising from or associated with your transactions with BAYZL.


10. Privacy & Data Processing

Protecting your personal data is important to us. All data we collect or process through the use of our Services is subject to our Privacy Policy. Shopify’s privacy policies also apply.

By using our online shop, you confirm that you have read, understood, and accepted both our Privacy Policy and Shopify's.

As our store is operated via Shopify, certain personal data will also be collected, processed, and stored by Shopify to enable the technical provision and optimization of the Services. This includes access data, usage data, and any information provided

If you submit ideas, suggestions, reviews, comments, content, designs, or other notices—whether by email, via our website, or by other means (collectively, “Feedback”)—you grant BAYZL an unrestricted, worldwide, royalty-free, transferable, sublicensable, perpetual license to use that Feedback. By submitting Feedback, you represent and warrant that:

Despite our best efforts, content provided through our Services may contain technical errors, typographical mistakes, inaccuracies, or omissions—especially regarding product descriptions, prices, promotions, shipping costs, availability, or offer duration.

We reserve the right at any time, without prior notice, to:

  • Cancel orders based on incorrect or incomplete information, even if the order was already placed.

(c) Collecting or storing personal data of others without consent;
(d) Using automated methods (e.g., scraping, crawling) for data gathering;
(e) Bypassing or impairing security features of the Services.

BAYZL reserves the right to suspend or terminate user accounts without notice if these rules are violated.

This includes:

  • Lost profits, revenue, or savings

  • Data loss or corruption

  • Costs of substitute products or services

  • Service interruption

  • Reputation damage

  • Other economic or non-economic losses

Liability is also excluded for errors, omissions, or inaccuracies in content provided. Even if informed of potential damages, no liability exists—unless mandatory laws (e.g., for intentional wrongdoing or gross negligence) require otherwise. You agree to indemnify, defend, and hold harmless BAYZL, Shopify, their affiliates, officers, employees, agents, licensors, partners, and service providers from and against all claims, damages, losses, liabilities, expenses, and costs (including reasonable attorney’s fees) arising from:

  • Your violation of any law or third-party rights;

  • Your access to or use of the Services.

Notice & Cooperation
We will promptly notify you of claims requiring indemnification. Delay does not waive your obligations unless it unduly prejudices you. BAYZL may, at its expense, control the defense and resolution of such claims, including choice of counsel. However, you must consent to any settlement requiring your non-monetary obligations. You must cooperate in the defense by timely providing necessary information and documentation.

 

18. Severability

If any provision of these Terms is invalid or unenforceable, that provision is severed, and the remainder remains in full force and effect, to the extent legally permissible.

 

19. Waiver & Entire Agreement

Our failure to enforce a right under these Terms does not constitute a waiver. Any waiver must be in writing and explicitly stated. These Terms, including all referenced policies, represent the entire agreement between you and BAYZL concerning the Services and supersede all prior agreements or communications.

In case of ambiguity, the interpretation will not be construed against the drafting party.

 

20. Assignment

You may not assign or delegate these Terms or your rights or obligations without BAYZL’s written consent. Any attempt to do so is void. BAYZL may freely assign or delegate these Terms and its rights and obligations, including in connection with restructuring, sale, or asset transfer, without your consent.

 

21. Governing Law & Jurisdiction

These Terms, along with any agreements under which we provide Services, are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG), unless mandatory consumer protection laws of another country apply.
The exclusive venue for disputes is the seat of BAYZL, unless prohibited by law. Both parties submit to the local and substantive jurisdiction of the German courts at BAYZL’s place of business.

23. Modifications to the General Terms and Conditions

The current version of these Terms is always available on this page. We reserve the right to amend, supplement, or update the Terms at any time without notice, in order to reflect legal, technical, or business developments. Material changes will be communicated per legal requirements (e.g., email or website notice). You are responsible for reviewing the Terms periodically. Continued use after changes constitutes acceptance. If you disagree, you may cease using the Services.
